1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your use of the website, products, and services of Thermonic Sensor & Control Pvt Ltd (“Thermonic”, “we”, “us”, or “our”), a company incorporated under the Companies Act, 2013, engaged in the manufacture and supply of industrial control panels, temperature sensors, and pressure transmitters.

By placing an order, visiting our website, or otherwise engaging with Thermonic, you (“Customer”, “you”, or “your”) agree to be bound by these Terms. If you do not agree, please refrain from using our services.

2. Products and Services

Thermonic manufactures and supplies the following industrial products:

  • Control Panels — customised and standard electrical/instrumentation panels
  • Temperature Sensors — including RTDs, thermocouples, and thermowells
  • Pressure Transmitters — for gauge, absolute, and differential pressure measurement
  • Associated Instrumentation and Accessories

All products are manufactured in accordance with applicable Indian and international standards. Specifications and technical parameters are subject to change without prior notice; customers are advised to confirm specifications at the time of order.

3. Orders and Acceptance

3.1  All orders are subject to written acceptance by Thermonic. A purchase order from the Customer does not constitute a binding contract until confirmed in writing (including by email) by Thermonic.

3.2  Thermonic reserves the right to decline or cancel any order at its sole discretion, including where stock or manufacturing capacity is unavailable.

3.3  Any special or custom requirements must be clearly specified in the purchase order. Thermonic shall not be liable for errors arising from incomplete or ambiguous specifications provided by the Customer.

3.4  Minimum order quantities and lead times, where applicable, shall be communicated at the time of quotation.

4. Pricing and Payment

4.1  All prices quoted are exclusive of applicable taxes including GST, unless expressly stated otherwise.

4.2  Prices are valid for the period stated in the quotation. In the absence of a stated validity, quotations are valid for 30 days from the date of issue.

4.3  Payment terms are advance payment or as agreed in writing. Standard credit terms, if extended, shall be as specified in the order confirmation.

4.4  Thermonic reserves the right to withhold dispatch or suspend services in the event of outstanding dues.

5. Delivery and Dispatch

5.1  Delivery timelines indicated by Thermonic are estimates and are not guaranteed unless expressly agreed in writing as firm delivery dates.

5.2  Risk in the goods passes to the Customer upon dispatch from our facility. Title to the goods passes upon receipt of full payment.

5.3  Unless otherwise agreed, delivery is ex-works (Thermonic’s premises). Freight, insurance, and handling charges are to the Customer’s account.

5.4  Thermonic shall not be liable for delays caused by courier or logistics partners, force majeure events, or circumstances beyond our reasonable control.

5.5  The Customer shall inspect goods upon delivery and report any shortages, transit damage, or discrepancies in writing within 48 hours of receipt. Claims raised after this period may not be entertained.

6. Returns and Cancellations

6.1  Products may be returned only with prior written authorisation from Thermonic. Unauthorised returns will not be accepted.

6.2  Custom-manufactured or made-to-order products are non-returnable and non-cancellable once production has commenced.

6.3  For standard products, cancellation requests must be submitted within 24 hours of order confirmation. Cancellations after this period may attract a cancellation charge of up to 20% of the order value.

6.4  Returned goods must be in their original, unused condition and original packaging. Thermonic reserves the right to reject returns that do not meet this requirement.

7. Limitation of Liability

7.1  To the fullest extent permitted by applicable law, Thermonic’s total liability to the Customer — whether in contract, tort (including negligence), or otherwise — shall not exceed the invoice value of the specific product or service giving rise to the claim.

7.2  Thermonic shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profit, loss of production, plant downtime, or third-party claims, whether or not Thermonic had been advised of the possibility of such damages.

7.3  Nothing in these Terms shall limit or exclude liability for death or personal injury caused by our proven negligence or fraud.

8. Intellectual Property

8.1  All technical drawings, specifications, designs, software, trademarks, and documentation provided by Thermonic remain the exclusive intellectual property of Thermonic and may not be reproduced, shared, or used for any purpose other than the intended use of the purchased product without prior written consent.

8.2  Any intellectual property provided by the Customer for the purpose of a custom order shall remain the property of the Customer. By providing such material, the Customer grants Thermonic a limited, non-exclusive licence to use it solely for fulfilling the order.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive technical, commercial, or business information disclosed in the course of their dealings, and not to disclose such information to third parties without prior written consent, except as required by law.

10. Force Majeure

Thermonic shall not be in breach of these Terms, nor liable for any delay or failure to perform, where such delay or failure results from circumstances beyond our reasonable control, including acts of God, war, pandemic, natural disaster, labour disputes, government action, power failure, or disruption to supply chains. Thermonic will notify the Customer promptly and make reasonable efforts to resume performance.

11. Governing Law and Dispute Resolution

11.1  These Terms shall be governed by and construed in accordance with the laws of the Republic of India.

11.2  Any dispute arising from or in connection with these Terms shall first be attempted to be resolved through mutual discussion within 30 days of written notice of the dispute.

11.3  If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator mutually agreed upon by both parties.

11.4  The courts of India shall have exclusive jurisdiction for any matters not referred to arbitration.

12. Amendments

Thermonic reserves the right to revise these Terms at any time. Updated Terms will be published on our website with a revised effective date. Continued engagement with Thermonic after such changes constitutes your acceptance of the revised Terms.
